Welcome to Avlo (hereinafter — "Avlo", "we", "our"). Using the Software-as-Service model, we offer users software for creating online stores. In particular, we provide an opportunity to create a showcase of your products and insert it on your website. Here we have collected detailed terms of use of Avlo services. You should read and understand this Service Agreement (hereinafter referred to as the "Agreement"), which includes our Privacy Policy, and may also include our Partner Agreement and Master Service Agreement, as appropriate, since they regulate the use of any Avlo products and services (hereinafter referred to as the "Web-services"), including all functions and features, user interfaces, the Avlo website, as well as all content and software related to the above.

 

This Agreement is also a source of information where you can get a deeper understanding of how our Web Services work, including what types of data we collect, how we carry out billing, how we interact with you and other useful details. We recommend that you periodically review this Agreement when you have questions about Web Services, or when you want to know how something works. We hope that you will be happy working with Pavel.

 

Acceptance of the terms of the Agreement

 

When using the Web Services, as well as when using the Avlo website, you accept and agree to the terms of this Agreement, which is published at _________. If you do not agree to the terms of the Agreement, then you must not use the Web Services, including our website and software. Violation of any terms of the Agreement will result in the deletion of your Avlo account and the inability to use Web Services. This Agreement, together with the Privacy Policy, the Partnership Agreement and the License Agreement, constitute the entire Agreement between you (hereinafter referred to as "you",  "User") and Avlo and supersedes all previous agreements, including previous versions of this agreement.

The inability of Avlo to exercise or enforce any of its rights under this Agreement does not constitute a waiver of such right by Avlo.

Changing the terms of the Agreement

Avlo reserves the right, from time to time, with or without prior notice, to change the terms of the Agreement, including the Privacy Policy, the Partnership Agreement and the Service Agreement at its sole discretion. Avlo also has the right to transfer its obligations under this Agreement to third parties. The current version of the agreement can be found on the website at any time https://www.avlo.shop in the section "Service Agreement". The latest version of the Agreement replaces previous versions.

If any provision of this Agreement is declared invalid or unenforceable by a judicial authority, this will not invalidate the remaining provisions of the Agreement that remain in force.

 

Using your account

 

Your account for accessing Web Services (hereinafter referred to as the "Account") is intended for personal use. You are responsible for the secure storage of your Account password. Avlo is not responsible for any damage or loss that occurred due to unauthorized access to your account as a result of your actions, such as leaving an Account session open or transferring your Account password to third parties.

 

Avlo may refuse registration or cancel the Account at its discretion at any time. When using the Web Services, you agree to:

  1. a) not to conduct illegal activities and not to violate the laws of your jurisdiction.
  2. b) do not distribute spam or malicious content.
  3. c) not to gain unauthorized access to information.

Avlo reserves the right to change, suspend or terminate the provision of Web Services for any reason, with or without notice.

Abuse or too frequent requests to the Avlo website may cause your Account to be blocked. Avlo, at its discretion, may warn you by email about excessive Account activity prior to such blocking.

All software underlying the Web Services is the intellectual property of Avlo, including but not limited to design, functionality and documentation. The User does not have the right to copy, modify, decompile or obtain the source code underlying the Web Services. For more information, see the "Intellectual Property" section of this Agreement below.

You are responsible for ensuring the security of data about bank cards that are used to pay for goods and services on your website.

 

Rights and obligations of the user

Any text and graphic materials, photos, as well as other information (hereinafter, the "Content") belong to the author of the Content. You have the right to use your content for any needs without restriction. You may use the content of other users in the limited ways described in this Agreement.

 

You provide Avlo a non-exclusive, free, worldwide license to publish Content worldwide. In addition to the right to publish, Avlo also receives the following rights:

(1) right of reproduction;

(2) the right to transfer, including transferring via computer networks;

(3) the right to change, translate the Content in whole or in part;

(4) the right to post content in the media. Except as described in our Privacy Policy, no Content is confidential information.

 

Avlo cannot control all Content posted by third parties when using the Web Services, including in our user interfaces, and does not guarantee the accuracy, integrity or quality of such content. You understand and agree that when using the Web Services, you may encounter Content that you may find offensive, obscene, erroneous or unacceptable, and you agree that under no circumstances is Avlo responsible for the quality of such Content and for any loss or damage of any kind incurred as a result use of such Content. You understand and accept all risks associated with the use of any Content. To complain about any Content, please send a message to [email protected] .

 

By using the Web Services, including our website, you agree to use their features and functions, content and software associated with them, in accordance with all laws, regulations and rules that apply to such use. In addition, you agree not to upload, post, email or otherwise transmit any materials containing viruses or other files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment. You also agree not to harm servers or networks that are part of the infrastructure of Web Services, and not to violate any of the procedures, policies or rules of these networks. You agree not to impersonate another person when using the Web Services, not to behave in a vulgar or offensive manner, and not to use the Web Services for any illegal purposes.

 

The use of the Web Services and any personal information provided through the Web Services, our user interfaces or community forums is subject to our privacy policy, the terms of which are included in this Agreement, and a copy of which is located at www.avlo.shop /______. Please read the Privacy Policy. The dates of any changes to the Privacy Policy are reflected on the last page of the document.

 

Using the Web Services means your consent to receive informational messages from Avlo, for example, newsletters about new Avlo features, special offers and other information via email and other methods. Please read our Privacy Policy for more information about such newsletters. There you can also find instructions on how to opt out of newsletters. These emails may include both messages related to your Account and information related to our services. These messages are part of your relationship with Avlo. You agree that any notice, agreement, instruction or other communications that we send to you electronically corresponds to the legal concept of "a message sent in written form".

 

The User who created an account in Avlo and specified Payment details (hereinafter, the "Account Owner") gets access to the Account and the right to manage the Account. Account control is carried out by using the Account Owner's password and, therefore, in order to maintain exclusive control, the Account Owner should not disclose the password to third parties. In addition, to prevent the risk of losing control of the Account, the Account Owner should not disclose the details of payment information associated with the Account.

 

BY PROVIDING THE ACCOUNT ACCESS PASSWORD, THE ACCOUNT OWNER AGREES THAT HE IS SOLELY RESPONSIBLE FOR THE ACTIONS OF THIRD PARTIES AND POSSIBLE DAMAGE CAUSED BY SUCH ACTIONS.

 

Any abuse or threats against other users of the Web Services or against Avlo employees will lead to the immediate closure of the Account.

 

Cost and Payment

 

To get access to Web services, you need to have Internet access and create a paid Account on the Avlo.shop website. To use one of the paid plans, you must be able to pay with one of the payment methods offered during registration (hereinafter referred to as the "Payment Method").

 

To use the paid plan, you must have a valid bank card, or you can make a bank transfer using the company's details below.

 

When using a subscription to a paid Web services plan, your card will be charged an advance payment for the period you selected (month, 3 months, 6 months or year), according to the current Avlo tariffs. Payment for monthly plans is made every month, on the same day. If the subscription date falls on the period from the 29th to the 31st, the payment will be made on the last day of the month, if there is no subscription date in the current month. Payment for annual plans is made on the same day after the end of the year.

 

If you choose to switch from one paid plan (the "Old Plan") to another paid plan (the "New Plan"), your tariff plan will be changed immediately. The part of the payment for the Old Tariff plan that has not been used will be taken as payment for the New Plan. The payment date at the end of the period will remain the same. When switching to a cheaper paid plan, the part of the payment for the Old Plan that was not used will be taken into account for the payment of the new plan. The next payment will be made when the amount is insufficient to pay for the new period. When switching from a cheaper tariff plan, the difference will be debited from the card at the time of the transition. The amount to be paid will be calculated based on unused days in the current month. All questions regarding payment can be sent to the email address [email protected]. You will receive a response within 24 hours (Monday — Friday), or on the next business day.

 

Cancel subscription and delete Account

 

You have the right to cancel a paid subscription to Web Services at any time. From the moment of canceling a paid subscription, Avlo will no longer make debits from the bank card or account of the Account Owner.

 

You can delete your Account by selecting “Close account” in the admin panel of your Account. Before you delete your Account, you need to cancel your subscription to the paid plan, in order to avoid charges from your bank card or account.

 

Features and functionality

 

Web services are software that allows you to integrate an online store showcase into the User's existing website, blog and social networks. Avlo reserves the right to make changes to the Web Services without notifying Users. Any description of the operation of Web Services should not be considered as an obligation regarding how the Web Service should always work. Avlo is constantly working on improving Web Services and this Agreement may not reflect all changes.

 

Personal data protection

 

You are responsible for the accuracy and relevance of the information that you provide to Avlo to ensure the operation of the Account. You are also responsible for ensuring the confidentiality of your Account access password. If you disclose your password to a third party, then you take full responsibility for the actions of that person. When using public networks, we recommend that you always end the Account session after the work is completed. If you have become a victim of theft of personal data, including account access data, write to us at the email address [email protected]. Also, you need to take measures yourself to block the account of the Account Owner. Log in to your Account exclusively from the Avlo.shop website. You should not follow links in emails and other means of communication, even if you receive them from Avlo.

Avlo reserves the right to temporarily block the Account for any period with or without notice if fraudulent activity is suspected. Avlo is not obliged to pay any compensation for inconvenience or damage caused to you as a result of Account blocking.

 

Guarantees

 

EXCEPT AS EXPRESSLY PROVIDED IN THIS AGREEMENT, AVLO DOES NOT MAKE ANY GUARANTEES, ACTUAL OR IMPLIED, WITH RESPECT TO THE WEB SERVICES, NOR DOES IT GUARANTEE THAT THE WEB SERVICES MEET CERTAIN USER GOALS. AVLO DOES NOT GUARANTEE THE RESULTS OBTAINED WHEN USING WEB SERVICES, THE ACCOUNT OWNER ASSUMES ALL RISKS ASSOCIATED WITH THIS.

 

Limitation of liability and compensation for damages.

 

UNDER NO CIRCUMSTANCES, INCLUDING, BUT NOT LIMITED TO, NEGLIGENCE, SYSTEM FAILURE OR POWER OUTAGE, SHALL EITHER PARTY OR ITS AFFILIATES BE LIABLE TO THE OTHER PARTY FOR LOST PROFITS, SPECIAL, INDIRECT, PUNITIVE OR INCIDENTAL DAMAGES. THESE LIMITATIONS AND EXCLUSIONS APPLY EVEN IF THE PARTIES KNEW OR SHOULD HAVE KNOWN ABOUT THE POSSIBILITY OF SUCH DAMAGES. UNDER NO CIRCUMSTANCES WILL AVLO'S LIABILITY TO YOU EXCEED THE AMOUNT YOU HAVE PAID TO AVLO UNDER THIS AGREEMENT.

 

Claim protection and compensation

UNDER NO CIRCUMSTANCES WILL AVLO, ITS SUBSIDIARIES OR SHAREHOLDERS, DIRECTORS, EMPLOYEES OR LICENSORS BE LIABLE (JOINTLY OR IN SHARES) TO YOU FOR ANY SPECIAL, INCIDENTAL, CONSEQUENTIAL DAMAGES OF ANY KIND, OR ANY LOSSES FROM LOSS OF DATA OR PROFITS, BUSINESS INTERRUPTION OR OTHER COMMERCIAL OR NON-MATERIAL DAMAGES OR LOSSES (EVEN IF AVLO KNEW OR SHOULD HAVE KNOWN ABOUT THE POSSIBILITY OF SUCH LOSSES) INCURRED BY YOU IN CONNECTION WITH THE USE OF AVLO WEB SERVICES, OUR WEBSITE, AS WELL AS ANY CONTENT AND SOFTWARE RELATED TO THE ABOVE, INCLUDING ANY FUNCTIONS OR MODULES. UNDER NO CIRCUMSTANCES WILL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES CAUSED BY THE USE OR INABILITY TO USE THE WEB SERVICES, INCLUDING OUR WEBSITE, USER INTERFACES, CONTENT AND SOFTWARE, EXCEED THE AMOUNT PAID BY YOU TO AVLO FOR THE THREE (3) PRECEDING MONTHS OF USING THE PAID PLAN. THE ABOVE LIMITATIONS WILL APPLY EVEN IF THE AMOUNT OF LIMITED COMPENSATION SPECIFIED IN THIS AGREEMENT DOES NOT COVER THE DAMAGE. IF ANY PROVISION OF THIS SECTION IS FOUND TO BE UNENFORCEABLE IN ACCORDANCE WITH THE LAW, SUCH PROVISION WILL BE DEEMED TO BE EXCLUDED FROM THE AGREEMENT TO THE EXTENT, AND ALL OTHER PROVISIONS WILL REMAIN IN FORCE TO THE MAXIMUM EXTENT PERMITTED BY LAW.

 

You agree to compensate Avlo for damages, costs and attorneys' fees that Avlo will incur due to any third-party claims that (I) resulted from changes you made to the Web Services, or (II) occurred due to Avlo's use of your content that infringes patents, copyrights, trademarks, trade secrets or other intellectual property rights in accordance with the legislation of the Republic of Uzbekistan. You undertake to protect and protect Avlo and its employees from any claims of third parties by using the services of a lawyer. In any such case, Avlo can hire his own lawyer at his own expense. You will have the right to settle any claims that can be resolved by paying compensation; however, in cases where such a settlement requires Avlo to perform or not perform any actions, then you must obtain Avlo's prior written consent to settle the claim. THE PARTIES WAIVE THE IMPLIED WARRANTIES OF NON-INFRINGEMENT, RELYING INSTEAD ON THE TERMS OF THIS SECTION.

 

Additional types of limitations of liability may be contained in various third-party software, licenses or agreements that you may have accepted in order to access Avlo Web Services.

 

Intellectual property

 

Copyright. Web services, including user interfaces, content delivered to users when using Web Services, including (but not limited to) source code, data and software, are the property of Avlo or its licensors and are protected by Uzbek and international copyright laws, trade secret laws, and other intellectual property laws. property and international treaties. Despite the fact that the Web Services include open-source software available for free, the totality of all content, software and other materials provided by Avlo through the Web Services are the exclusive property of Avlo and its licensors, and are protected by copyright laws, trade secrets and provisions of international treaties at all territories where Avlo provides Web services. The content of the Web Services may not be reproduced or used without the written permission of Avlo or its licensors. You agree to adhere to the restrictions set forth in this Agreement. You agree not to decompile, perform reengineering or obtain the source code of any software underlying or accessible through Avlo Web Services, as well as not to implement any code, not to manipulate the content of Web Services and not to use any systems for extracting analysis or data collection. Avlo reserves the right to close your Account if, at its sole discretion, it believes that you have violated the terms of use of the Avlo software, restrictions on copying Web Services, or allowed unauthorized copying or use of our content in violation of the copyrights of Avlo and its licensors. Avlo does not encourage, facilitate or condone your copying of third-party content or any other activity that violates copyrights. It is not a copyright violation for you to use Avlo demo stores and demo products whose images are the property of third parties. Please refer to the instructions at the end of this Agreement to notify us of any alleged copyright infringement taking place in the Web Services or on the avlo.shop website.

Trademarks.

 

"Avlo" is a registered trademark of OOO "SMARTDEALS". The Avlo logo and Avlo.shop are trademarks or service marks of Avlo. Web services, including, but not limited to, graphic materials, logos, page titles, buttons, scripts and names of Web services make up the appearance of Avlo. Avlo's trademarks, service marks and appearance may not be used or reproduced without the prior written permission of Avlo and may not be used in connection with any product or service that is not related to Avlo, in any way that may lead to confusion among customers, or in any form that weakens the rights of Avlo, or in any way that defames or discredits Avlo. Other trademarks that are presented on the Avlo website and in the user interfaces of Web Services are the property of their respective owners, who may or may not be associated with Avlo. Any images of people or personalities contained on the Avlo website and the user interfaces of the Web Services do not constitute an endorsement of any particular product or service, unless otherwise indicated.

 

Patents.

Avlo has patent applications related to Web services and its activities.

 

Use of your Information

Avlo has the right to use comments, information, ideas, concepts, reviews, techniques or any other materials contained in any message that you send to Avlo ("Feedback"), including answers to questionnaire questions or content sent by you when using the Web Services, the Avlo website and user interfaces. Avlo is not obligated to pay you remuneration for using the above information for the needs of Avlo, which may include (but not limited to) software development, marketing, creation, modification or improvement of Web Services. In addition, by sending Feedback to Avlo, you hereby provide Avlo the right, free of charge, without territorial restrictions, for an unlimited period, to reproduce, use, post, copy, save, modify and sublicense your Feedback to third parties.

 

Please note that Avlo does not accept unsolicited materials or ideas for use or publication, and is not responsible for the similarity of its content or program code with materials or ideas sent by you to Avlo. By sending any unsolicited materials or ideas to Avlo, you do so with the understanding that no payment is due to you for this, and you waive any claims against Avlo and its affiliates regarding the use of such materials and ideas by Avlo.

 

By agreeing to the terms of this Agreement, you decide to provide your personal data and consent to their processing and storage freely, of your own free will and in your own interest.

 

Avlo assumes responsibility for warning about the collection, storage and processing of personal data of your customers (store buyers).

 

 

Testing Web services

 

From time to time, we test various aspects of our Web Services, including our website, other user interfaces, service levels, plans, promotions, software features, pricing and content delivery, and we reserve the right to include you in or exclude you from such testing without prior notice.

Usage Restrictions

 

You must be 18 years old or older to become a user of Web Services. Persons under the age of 18 may use the Web Services only under the supervision of a parent or legal guardian who is the Account Owner. Despite the fact that Avlo distributes products that can be used by children, the Web Services are not intended for use by children without the control of a parent or legal guardian. Unless otherwise stated, we grant you a limited, non-exclusive, non-transferable, license to access the Web Services. You are not granted any other rights other than the above limited license. You have no right to download (except from the browser cache or in any other way explicitly permitted by this Agreement), modify, copy, distribute, transmit, display, perform, reproduce, duplicate, publish, license, create derivative works or sell any information obtained by using the Web Services, without our written consent. Avlo does not encourage, facilitate, or condone your copying of third-party content or any other copyright infringing activity. You agree not to circumvent, delete, modify, deactivate, degrade or interfere with the operation of the mechanisms provided for the protection of content when using Web Services. You may not frame or use any framing methods to hide the trademark, logo or other proprietary information (including images, texts, page layout, or forms) of Avlo without our written consent. You may not buy search queries or use meta tags or any other "hidden text" using the Avlo name or trademarks without our written consent. Any unauthorized use of the Web Services or their content terminates the limited license granted by us and will result in the closure of your Account.

 

Links and pages

 

Some of the hyperlinks on the Avlo website may lead to other websites or to content that is not controlled by or associated with Avlo. In addition, third-party websites may contain links to the Avlo website and the Avlo website may include links to the websites of companies with which Avlo has established certain relationships. For example, the Avlo website may include pages that display information about third-party applications or products. These pages of the Avlo website may contain links to third-party websites where users of Web Services can obtain or purchase such applications. Claims of copyright infringement

 

Avlo respects intellectual property rights. Avlo does not turn a blind eye to unauthorized reproduction or distribution of copyrighted content. Jurisdiction

 

This Agreement shall be governed by and construed in accordance with the laws of the Republic of Uzbekistan without regard to conflicts of laws or principles thereof. If any provision of this Agreement is held to be invalid or unenforceable under any law or rule of law, then such provision shall be deemed to be severed from the Agreement to the extent and all other provisions shall be unaffected.
